Im Bereich des Gesellschaftsrechts gibt es eine Unterscheidung zwischen der Position eines Gesch\u00e4ftsf\u00fchrers als Organ und seinem Anstellungsverh\u00e4ltnis. Diese Unterscheidung muss ber\u00fccksichtigt werden, insbesondere wenn es um die Trennung vom Gesch\u00e4ftsf\u00fchrer geht.<\/p>\n

Das Gesellschaftsrecht legt fest, dass die Gesellschafterversammlung die Organstellung des Gesch\u00e4ftsf\u00fchrers bestellt. Dies betrifft jedoch ausschlie\u00dflich seine Funktion als Organ. Zur Regelung seines Arbeitsverh\u00e4ltnisses ist zus\u00e4tzlich ein Dienstvertrag oder ein Vertrag zur Anstellung als Gesch\u00e4ftsf\u00fchrer erforderlich. Wenn die Gesellschaft sich von ihrem Gesch\u00e4ftsf\u00fchrer trennen m\u00f6chte, m\u00fcssen sowohl die Abberufung durch die Gesellschafterversammlung als auch die ordentliche K\u00fcndigung des Anstellungsvertrags wirksam erfolgen, wie von Rechtsanwalt Michael Rainer, Fachanwalt f\u00fcr Gesellschaftsrecht bei MTR Legal Rechtsanw\u00e4lte, betont wird.<\/p>\n

Sofern keine Verkn\u00fcpfungsklausel vereinbart wurde, m\u00fcssen die Abberufung und die K\u00fcndigung des Gesch\u00e4ftsf\u00fchrers getrennt voneinander durchgef\u00fchrt werden. Ein Anwalt mit Erfahrung im Gesellschaftsrecht versteht die Anforderungen, die erf\u00fcllt sein m\u00fcssen, damit die Beendigung der Zusammenarbeit mit dem Gesch\u00e4ftsf\u00fchrer in allen Aspekten rechtlich wirksam ist.<\/p>\n

Die Abberufung beendet lediglich die Organstellung des Gesch\u00e4ftsf\u00fchrers. Er verliert das Recht, die Gesellschaft nach au\u00dfen zu vertreten, beh\u00e4lt jedoch weiterhin Anspr\u00fcche aus seinem Anstellungsvertrag, einschlie\u00dflich seiner Verg\u00fctung. Dies kann eine finanzielle Belastung f\u00fcr die Gesellschaft darstellen. Um dies zu vermeiden, wird empfohlen, einen erfahrenen Anwalt f\u00fcr Gesellschaftsrecht hinzuzuziehen. Au\u00dferdem ist zu beachten, dass in der Regel f\u00fcr die Abberufung des Gesch\u00e4ftsf\u00fchrers zwar keine zeitlichen Beschr\u00e4nkungen gelten, jedoch bei der K\u00fcndigung des Anstellungsvertrags in der Regel K\u00fcndigungsfristen einzuhalten sind. Es besteht jedoch die M\u00f6glichkeit, abweichende Regelungen im Anstellungsvertrag zu vereinbaren. Daher ist es ratsam, bei der Vertragsgestaltung einen versierten Anwalt f\u00fcr Gesellschaftsrecht zu Rate zu ziehen.<\/p>\n

Die Abberufung des Gesch\u00e4ftsf\u00fchrers erfolgt normalerweise durch einen Mehrheitsbeschluss der Gesellschafterversammlung. Dies kann problematisch sein, wenn der Gesch\u00e4ftsf\u00fchrer gleichzeitig Mehrheitsgesellschafter ist. In einem solchen Fall ist die Abberufung gegen seinen Willen in der Regel nur m\u00f6glich, wenn ein wichtiger Grund vorliegt, wie grobe Pflichtverletzungen, Unf\u00e4higkeit oder gesch\u00e4ftssch\u00e4digendes Verhalten, um nur einige Beispiele zu nennen. Wenn eine Abberufung aus wichtigem Grund erwogen wird, sollte unbedingt ein erfahrener Anwalt f\u00fcr Gesellschaftsrecht konsultiert werden. Dar\u00fcber hinaus muss auch bei einer Abberufung aus wichtigem Grund der Anstellungsvertrag ordnungsgem\u00e4\u00df gek\u00fcndigt
