Im Rechtsstreit um die Richtigkeit der im Handelsregister eingetragenen Gesellschafterliste steht der effektive Rechtsschutz f\u00fcr ausgeschlossene Gesellschafter oft auf dem Spiel. Bisher wurden Mittel des einstweiligen Rechtsschutzes restriktiv gehandhabt, doch das Kammergericht hat seine Linie nun angepasst. Dabei ist die Bedeutung der Gesellschafterliste nicht zu untersch\u00e4tzen, denn sie bestimmt faktisch \u00fcber Gesellschafterrechte, unabh\u00e4ngig von deren Richtigkeit.<\/div>\n

Die Eintragung oder Streichung eines Gesellschafters in der Gesellschafterliste kann schwerwiegende Konsequenzen haben. Die Legitimationswirkung der Liste bedeutet, dass nur dort aufgef\u00fchrte Gesellschafter \u00fcber ihre Rechte verf\u00fcgen k\u00f6nnen, ungeachtet m\u00f6glicher Fehler. Der ausgeschlossene Gesellschafter verliert damit nahezu s\u00e4mtliche Beteiligungsrechte. Selbst wenn er sp\u00e4ter vor Gericht Recht bekommt, bleibt er w\u00e4hrenddessen entrechtet, w\u00e4hrend die verbleibenden Gesellschafter freie Hand haben.<\/div>\n

Der einstweilige Rechtsschutz spielt hier eine entscheidende Rolle. Er kann eine vorl\u00e4ufige Sicherung der Gesellschafterrechte erm\u00f6glichen, bevor eine endg\u00fcltige Kl\u00e4rung erfolgt. Doch ob und unter welchen Umst\u00e4nden dieser Schutz gew\u00e4hrt wird, war lange umstritten. Insbesondere die Frage, ob eine nachtr\u00e4gliche Korrektur bereits eingereichter Gesellschafterlisten m\u00f6glich ist, besch\u00e4ftigte die Gerichte.<\/div>\n

Das Kammergericht Berlin hat nun klargestellt, dass auch eine nachtr\u00e4gliche Korrektur der Liste im einstweiligen Verfahren m\u00f6glich ist, insbesondere wenn die Gesellschaft versucht, den Rechtsschutz des Gesellschafters zu vereiteln. Diese Entscheidung stellt sicher, dass der effektive Rechtsschutz auch nach Beschlussfassung gew\u00e4hrleistet ist.<\/div>\n
